Welcome to ScopeSimple. These Terms of Service ("Terms") are an agreement between you and ScopeSimple Technologies Inc. ("ScopeSimple", "we", "us", or "our") governing your use of the ScopeSimple app ("the App"). By downloading or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. What ScopeSimple is

ScopeSimple is a tool that helps individuals and small businesses estimate their carbon footprint and greenhouse gas (GHG) emissions using published regional emission factors. It is an estimation and educational tool. It is designed for individuals and small to medium-sized organisations — not for industrial operations, regulated facility-level reporting, or formal third-party assurance.

The figures ScopeSimple produces are estimates, calculated from the information you provide and from published emission factors sourced from government and recognised bodies (such as Environment and Climate Change Canada, the US EPA, the UK Government / DEFRA, and the Australian Government / DCCEEW).

ScopeSimple offers optional paid subscriptions (currently Personal Premium and Business tiers). The following applies to all subscriptions:

5. Intellectual property

The App, including its design, text, graphics, the ScopeSimple name and logo, and its underlying software, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose. You may not copy, modify, reverse-engineer, redistribute, or create derivative works from the App except as permitted by law.

Reports and outputs you generate from your own data are yours to use.

6. Third-party links and services

The App may link to third-party websites or services (for example, carbon-offset providers). We do not control them and are not responsible for their content, products, practices, or terms. Your use of any third-party website or service is at your own risk and subject to that third party's own terms and privacy policy.

7. Disclaimer of warranties

To the fullest extent permitted by applicable law, the App is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that results will meet your requirements.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, such warranties are limited to the minimum extent permitted by law.

8. Limitation of liability

To the fullest extent permitted by applicable law, ScopeSimple and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of (or inability to use) the App or your reliance on its results.

Where liability cannot be excluded but may be limited, our total aggregate liability to you is limited to the greater of (a) the amount you paid us, if any, for the App in the twelve months before the event giving rise to the claim, or (b) ten Canadian dollars (CAD $10).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under consumer-protection laws that may apply to you.

9. Changes to the App and to these Terms

We may update, change, or discontinue features of the App, and we may update these Terms from time to time. When we make material changes to these Terms, we will revise the "Last updated" date above. Your continued use of the App after changes take effect means you accept the revised Terms.

10. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Alberta, Canada will have jurisdiction over any dispute arising from these Terms or your use of the App, subject to any mandatory consumer-protection rights you have under the laws of your own place of residence.
